Welcome to Prepzo. These Terms of Service ("Terms") govern your access to and use of Prepzo's AI-powered hiring platform, including our website, applications, and services (collectively, the "Service"). By using Prepzo, you agree to these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
Prepzo provides an AI-powered applicant tracking system (ATS) and hiring platform that includes:
- Job posting and career page management
- Application tracking and candidate management
- AI-powered resume parsing and candidate scoring
- Automated AI interviews with real-time assessment
- Team collaboration and workflow automation
- Email communications and scheduling
- Analytics and reporting
3. Account Registration
3.1 Account Creation
To use the Service, you must create an account with accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Account Responsibility
You are responsible for all activities under your account. Notify us immediately of any unauthorized access. We are not liable for losses from unauthorized account use.
4. Acceptable Use
You agree to use the Service only for lawful purposes. You shall not:
- Violate any applicable laws, regulations, or third-party rights.
- Post false, misleading, or discriminatory job listings.
- Use the Service to discriminate against candidates based on protected characteristics.
- Attempt to reverse engineer, decompile, or access the source code of the Service.
- Interfere with or disrupt the Service or servers.
- Use automated means to access the Service without permission.
- Transmit viruses, malware, or other harmful code.
- Collect user data without consent.
- Impersonate others or misrepresent your affiliation.
- Use AI features to generate unlawful, harmful, or discriminatory content.
5. AI Features and Limitations
5.1 AI-Assisted Tools
Prepzo uses artificial intelligence to assist with resume parsing, candidate scoring, job description generation, and automated interviews. These tools are designed to augment human decision-making, not replace it.
5.2 No Guarantee of Accuracy
AI-generated content and assessments may contain errors or inaccuracies. You are responsible for reviewing and verifying all AI outputs before making hiring decisions.
5.3 Human Oversight
You agree to maintain appropriate human oversight of AI-assisted hiring processes. Final hiring decisions must involve human judgment and cannot rely solely on automated assessments.
5.4 Compliance Responsibility
You are responsible for ensuring your use of AI features complies with applicable employment laws, anti-discrimination regulations, and AI governance requirements in your jurisdiction.
6. User Content
6.1 Your Content
You retain ownership of content you submit ("User Content"), including job postings, company information, and communications. By submitting User Content, you grant Prepzo a worldwide, non-exclusive license to use, process, and display it as necessary to provide the Service.
6.2 Candidate Data
You are responsible for obtaining appropriate consent from candidates for data collection and processing. You must handle candidate data in compliance with applicable privacy laws.
6.3 Content Restrictions
User Content must not be illegal, defamatory, discriminatory, or infringe on third-party rights. We reserve the right to remove content that violates these Terms.
7. Subscription and Payments
7.1 Pricing
Access to certain features requires a paid subscription. Current pricing is available on our website. Prices may change with 30 days notice.
7.2 Billing
Subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for applicable fees.
7.3 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.
7.4 Free Trial
We may offer free trials. At trial end, your subscription will begin unless you cancel. Trial terms may be modified or discontinued at our discretion.
8. Intellectual Property
8.1 Prepzo IP
The Service, including its design, features, code, and content (excluding User Content), is owned by Prepzo and protected by intellectual property laws. You may not copy, modify, or create derivative works without permission.
8.2 Feedback
If you provide feedback or suggestions, you grant us a royalty-free license to use and incorporate such feedback into the Service without obligation.
9. Third-Party Services
The Service may integrate with third-party services (e.g., calendar, email, AI providers). Your use of third-party services is subject to their respective terms. We are not responsible for third-party service availability, content, or practices.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Merchantability or fitness for a particular purpose
- Accuracy or completeness of AI-generated content
- Uninterrupted or error-free operation
- Hiring success or candidate quality
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREPZO SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, or business opportunities
- Hiring decisions made using the Service
- Third-party claims arising from your use of the Service
Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold Prepzo harmless from claims, damages, losses, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.
13. Termination
13.1 By You
You may terminate your account at any time through account settings or by contacting us.
13.2 By Us
We may suspend or terminate your account for violation of these Terms, non-payment, or other reasons at our discretion with notice when practicable.
13.3 Effect of Termination
Upon termination, your right to use the Service ceases. We may delete your data after a reasonable period. Provisions that should survive termination will remain in effect.
14. Data Processing
For organizations processing personal data of EU/EEA residents, we offer a Data Processing Agreement (DPA) upon request. Contact us at hello@prepzo.ai for DPA execution.
15. Changes to Terms
We may modify these Terms at any time. Material changes will be notified via email or platform notice at least 30 days before taking effect. Continued use after changes constitutes acceptance. If you disagree with changes, you must stop using the Service.
16. Governing Law and Disputes
These Terms are governed by the laws of the Federal Republic of Germany, without regard to conflict of law principles.
Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany.
If you are a consumer residing in the European Union, you may also be entitled to invoke the mandatory consumer protection provisions of your country of residence, and you may bring proceedings in the courts of that country.
17. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and Prepzo.
- Severability: If any provision is unenforceable, other provisions remain in effect.
- Waiver: Failure to enforce any right does not waive future enforcement.
- Assignment: You may not assign these Terms without our consent. We may assign freely.
- Force Majeure: We are not liable for delays due to circumstances beyond our control.
